Terms of Service
The terms for using SCDD, between the company that provides it and the company you sign up for. By signing up you state that you have read them and you accept them on behalf of the company.
1. Who provides the service
SCDD is a service of CIRCULARWARE S.R.L., with its registered office at Via dell'Ospedale 16, 12062 Cherasco (CN), Italia, VAT no. 04067220048.
SCDD Moda is the edition of SCDD for the fashion supply chain, on the same platform. In these terms “SCDD” means the service in all its editions.
These terms are a contract between CIRCULARWARE S.R.L., with its registered office at Via dell'Ospedale 16, 12062 Cherasco (CN), Italia, VAT no. 04067220048 (“we”) and the business or professional you sign up for or work for on SCDD (“you”).
For questions about these terms, write to info@circularware.it.
2. What SCDD is
SCDD is a web service for supply chain due diligence: each company prepares its dossier once (profile, self-assessment, documents, improvement plan) and shares it with the clients it chooses.
The SCDD Moda edition includes the ESG Harmonized Expectations framework of FHCM and CNMI, the production capacity check, PDF reports, sharing the dossier with clients and delegation to consultancy firms.
On SCDD a company can also build its own checklists for its supply chain, with documents and questions taken from a common library or written by itself, and ask its suppliers to fill them in.
3. Who can use SCDD
SCDD is for businesses and professionals, who use it for their own activity. It is not a service for consumers: by signing up you declare that you act for purposes related to your business or profession.
To register a company you need its VAT number or the tax identifier of its country, and you must be at least 18 years old. If you register a company or accept an invitation on its behalf, you declare that you are able to bind it.
The free features are available to companies in the countries listed at sign-up. Paid plans are sold only to companies in the European Union with a VAT number.
A consultancy firm that creates a client's company on SCDD declares that it has been instructed to do so and accepts these terms and the Data Processing Agreement on the client's behalf. The client can then invite its own people and change or revoke the delegation.
4. What SCDD is not
SCDD is not a certification, does not issue certificates and does not replace an audit, legal advice or the services of a professional.
The self-assessment is a declaration by the company: SCDD does not verify that it is true and does not guarantee the outcome of checks or audits by your clients or by authorities.
Scores, bands and audit readiness are calculated with SCDD's own rules, because the framework does not set an evaluation method: they are our reading, not that of the framework's publishers.
Checklists built by a company are its own: items, questions and scoring rules are chosen by that company, not by SCDD.
The same applies to the production capacity check: the calculation is based on the lines, hours, efficiency and orders you enter. SCDD does not verify them and does not plan production.
SCDD is not affiliated with or endorsed by FHCM or CNMI: the framework belongs to its publishers.
5. Your account
To use SCDD you sign up with an email address and a password and confirm the address.
Provide true and up-to-date information and keep your credentials safe: the company is responsible for what happens with its people's accounts. If you think someone has used your account, change your password and write to us straight away at info@circularware.it.
An account is personal: to let a colleague work, invite them from SCDD. The company's administrators decide who is part of it and with which role.
6. How you may use SCDD
We ask you to:
- use SCDD for the dossier and checklists of your company or, if you are a consultancy firm, of the companies that have given you a delegation;
- not upload unlawful content, content that infringes the rights of others or content that contains viruses or other harmful code;
- upload personal data of other people, such as workers, only where needed and where the company has the right to do so: for documents containing such data you can choose “available during audit” and not upload them;
- not try to access other companies' data, get around the limits of the service, overload it or copy its content with automated programs;
- not register the same company twice: if it is already on SCDD, ask to be invited.
7. Your content, sharing and delegations
The data and documents you upload remain yours. You grant us the right to store, process and display them only as needed to provide you with the service, and only to the people and companies you choose.
Sharing the dossier with a client means showing it statuses, expiry dates, files (except those of the document types containing workers' personal data) and the result of the latest submitted self-assessment, including the answers to the questions, and the load on your production lines only if you choose to show it. What the client sees or downloads, including PDF reports, it handles from that moment under its own responsibility.
If a client asks you to fill in one of its checklists, with sharing open it also sees the result of the latest one you submitted: scores, answers, notes on “no” and “partly” answers and answers to the questions, except those to questions that contain personal data. Only that client sees it, never the others you share the dossier with, and before submission SCDD tells you who will see the result.
The answer to a library question applies to every checklist that uses it: once given, you find it already filled in on the other checklists you complete, where you can change it. When each checklist is submitted, the answer at that moment is fixed, and the client sees only that one.
If you build a checklist and ask your suppliers to fill it in, you are responsible for it: items, guidance, questions and scoring rules are yours and you use them only for the due diligence of your supply chain. In your checklists you do not ask for personal data of workers or of other people: SCDD keeps away from clients only the answers to common library questions marked as containing personal data, not those to the questions you write. The indemnity in section 16 also applies to the content of your checklists. [[TO BE VERIFIED: clause on the checklist owner, point 22]]
A delegation lets the people of the consultancy firm into your company with the role you choose: they see everything a colleague of yours with that role sees, including documents containing workers' personal data. The relationship with the firm, including data protection, is between you and the firm.
You can revoke a share or a delegation, or stop showing the load on your lines, at any time, with immediate effect. SCDD logs which of your clients opened the dossier or the result of a checklist, or downloaded a file or a report, and you can view the log.
PDF reports carry at the bottom of every page a reference to SCDD: the website address and a QR code to its public page, with no data that identifies you.
You are responsible for the accuracy of the content and of the declarations you share.
8. Personal data
How we handle the data of the people who use SCDD is explained in the Privacy Policy.
For the personal data you upload on behalf of your company, such as documents with workers' data or the names of people in documents, notes and orders, your company is the controller and CIRCULARWARE S.R.L., with its registered office at Via dell'Ospedale 16, 12062 Cherasco (CN), Italia, VAT no. 04067220048 is the processor. The rules are in the Data Processing Agreement (DPA), which is part of these terms and which you accept together with them.
It is for your company to have a legal basis for uploading such data and to inform the people it relates to.
9. What is free
The following are free, with no time limit:
- for every company, the dossier with the FHCM/CNMI framework, the self-assessment, the improvement plan, the production capacity check, reports and sharing with clients;
- answering the checklists your clients ask you to fill in;
- creating up to a certain number of custom checklists;
- for brands and lead suppliers, following up to a certain number of suppliers; for consultancy firms, following up to a certain number of companies.
Beyond these thresholds a paid plan is needed; for custom checklists any plan will do. Thresholds and prices are on the Pricing page.
We may change the free thresholds with at least 30 days' notice. If a threshold goes down, what you already have stays, but without a plan you will not be able to add anything beyond the new threshold.
10. Subscriptions: renewal, cancellation, plan changes and refunds
Plans are activated from the Subscription area and paid in advance by card through Stripe, monthly or yearly.
The plan renews automatically every period until cancelled. You can cancel at any time from the Subscription area: cancellation takes effect at the end of the period already paid, and until then the plan stays active.
From the same area you can switch to another plan of your profile. The change takes effect immediately and Stripe calculates the difference for the rest of the current period: if the new plan costs more you pay the difference, if it costs less the credit is deducted from later invoices.
If a payment fails, Stripe retries it over the following days and meanwhile the plan stays active. If it fails even then, the plan ends.
When a plan ends, nothing you have is removed: you simply cannot add more suppliers, followed companies or checklists beyond the free thresholds. Checklists beyond the threshold remain readable and suppliers can finish and submit the ones you have already requested, but you cannot request them from others or publish new versions.
Periods already paid are not refunded, not even in part, if you cancel or switch to a plan that costs less. We refund the unused part only if we close the service or your account without you having breached these terms, and we return amounts charged in error.
11. Prices and changes
Prices are those on the Pricing page, in euros and excluding VAT.
A subscription in progress stays at the price at which you activated it. If we change the price list, the new prices apply immediately to new subscriptions; for existing ones they apply only from the first renewal after at least 30 days' notice, which we send you by email. If you do not accept them, you can cancel before that renewal.
12. Promotional codes and offers
We may offer discounts through promotional codes to be entered on Stripe's payment page. Each offer has the conditions we publish with it: discount, duration, plans it applies to, maximum number of companies and the date by which it must be used.
Unless the offer says otherwise, a code is valid for one organisation only, cannot be transferred, cannot be exchanged for cash and cannot be combined with other discounts.
A card is also requested when the discount covers the whole first period: when the discount ends, the plan renews at full price, unless cancelled before the renewal.
We may close an offer at any time for those who have not yet used it and cancel a code used against these rules.
13. Invoices and taxes
We issue an electronic invoice with the billing details you enter in the Subscription area: you are responsible for their accuracy and for keeping them up to date. Stripe's receipts are not invoices.
Italian VAT applies to Italian companies; the reverse charge applies to companies in other European Union countries with a valid VAT number.
14. Availability, support and changes to the service
We do our best to keep SCDD always available, but we do not guarantee that it will work without interruptions or errors and we do not commit to measured service levels. We may suspend it for maintenance, giving prior notice when possible.
Support is requested by email at info@circularware.it, on working days.
We may change and improve SCDD over time. If we remove an important feature of a paid plan we will tell you at least 30 days beforehand, and you can cancel with a refund of the unused part.
The short titles, guides, links between expectations and documents and evaluation rules are our own reading of the framework and may change. A self-assessment already submitted keeps the rules under which it was submitted.
SCDD does not replace the records the law requires you to keep: always keep your originals.
15. Liability
We are liable for damage that is the immediate and direct consequence of our non-performance. We are not liable for indirect damage, such as loss of profit or loss of clients or orders, nor for decisions taken on the basis of the information in the service or of the outcome of audits and checks by your clients or by authorities.
In any case our total liability does not exceed what you have paid us for SCDD in the 12 months before the event that caused the damage; if you only use the free features, it does not exceed [[TO BE DECIDED: fixed amount]] euros.
These limits do not apply to wilful misconduct and gross negligence, nor in other cases where the law does not allow liability to be limited.
16. Indemnity
You will hold us harmless from damages and costs, including reasonable legal costs, arising from content you uploaded or shared in breach of the law, of the rights of others or of these terms, including personal data uploaded without a legal basis.
17. Intellectual property
The software, texts, graphics, guides and evaluation rules of SCDD belong to CIRCULARWARE S.R.L., with its registered office at Via dell'Ospedale 16, 12062 Cherasco (CN), Italia, VAT no. 04067220048 or to those who have licensed them to it; SCDD, SCDD Moda and their logos are distinctive signs of CIRCULARWARE S.R.L., with its registered office at Via dell'Ospedale 16, 12062 Cherasco (CN), Italia, VAT no. 04067220048. We give you the right to use them only to use the service, for as long as the contract lasts.
The ESG Harmonized Expectations framework and the list of documents belong to FHCM and CNMI: SCDD reproduces them to help you apply them.
If you send us suggestions, we may use them to improve SCDD without any obligation to you.
18. Suspension and closure
You can stop using SCDD whenever you like. To close your account or the company, write to info@circularware.it.
We may suspend an account or a company even without notice if it seriously breaches these terms, if it puts at risk the security of the service or of other companies, or if an authority asks us to. For other breaches we write to you first and give you 15 days to put things right.
We may withdraw from the contract or close the service with at least 90 days' notice, refunding the unused part of the periods paid.
When the contract ends, your data is returned and deleted as set out in section 19.
19. Copy of data, switching provider and end of the contract
You can ask us at any time for a copy of your company's data, including in order to move to another service, with notice of no more than two months. Within 30 days we hand over, at no cost, the files with their versions and the dossier data in a structured, commonly used format: [[TO BE COMPLETED: format, for example a ZIP archive with the files and the data in JSON and CSV]].
The following can be exported: [[TO BE COMPLETED: full list of exportable data categories, for example profile and sites, self-assessment and question answers, own checklists, documents with dates and files, improvement plan, production capacity, sharing and delegations, access log]].
When the contract ends, for 30 days you can still ask us for your data. We then delete it within a further 30 days, including the files, and from backups within [[TO BE COMPLETED: backup rotation period]]. We keep only what the law requires us to keep, such as invoice data.
20. Changes to the terms
We may change these terms, for example for new features, new regulations or new prices. We notify you of material changes by email at least 30 days before they take effect, and at your first sign-in after that date we ask you to accept them. If you do not accept them you can close your account and, if you have a plan, cancel it with a refund of the unused part.
The version in force is shown at the bottom of the page; the version accepted by each user is recorded with the date.
21. Governing law and jurisdiction
These terms are governed by Italian law.
Any dispute about these terms or the service falls under the exclusive jurisdiction of the Court of [[TO BE COMPLETED: court with jurisdiction for the company's registered office]], save where the law provides for a forum that cannot be derogated from.
22. Final provisions
- We send communications about the contract to your account's email address and to the company's administrators; you send them to info@circularware.it or, for formal communications such as a formal notice or a withdrawal, to the PEC address (Italian registered email) circularwaresrl@pro-pec.it.
- These terms, the Privacy Policy, the Cookies page and the Data Processing Agreement are the entire agreement between us on the service.
- If a clause is void, the others remain valid.
- We may assign the contract to a company that continues the service, notifying you by email; you may assign it only with our consent.
- We are not liable for delays and interruptions due to events beyond our reasonable control.
- The terms are written in Italian and translated into English and French: if the versions differ, the Italian one prevails.
23. Specific approval
Pursuant to Articles 1341 and 1342 of the Italian Civil Code you specifically approve the clauses of sections 3 (declaration by the firm that creates a client's company), 10 (automatic renewal and refunds), 11 (price changes), 14 (suspension for maintenance and changes to the service), 15 (limits of liability), 16 (indemnity), 18 (suspension and withdrawal), 20 (changes to the terms) and 21 (exclusive forum).
You approve them with the second checkbox of the sign-up or of the acceptance of the terms, separate from the one that accepts the terms: SCDD saves the date of both.
